About the role

In your role as SPV Governance Associate you will make a meaningful and valued contribution from the outset. This role will provide a great opportunity to focus on coordinating and completing company secretarial duties for investment special purpose vehicles (“SPVs”), while also providing the opportunity to contribute to operational activities that support USS’s Alternative Investments.

What you will be doing

As a trusted part of the Operations team you will be responsible for:

  • Assisting in the incorporation, registration & dissolution of entities, including overseas entities, liaising with third party providers in the relevant jurisdiction.
  • Acting as the SME for Diligent, our entities management system, taking responsibility for the maintenance and accuracy of data records and construction of structure charts.
  • Organising board meetings as required, ensuring appropriate timetabling per the annual planner.
  • Preparing board papers, board minutes and written resolutions for both ad hoc and routine matters.
  • Attending and minuting board meetings as required and fulfilling all company secretarial responsibilities regarding their approval.
  • Preparing the statutory returns or overseeing compliance by third party company secretarial providers in the relevant jurisdiction.
  • Assisting in the review of statutory accounts ensuring proper process for approvals is followed.
  • Implementing and maintaining the delegation of authority schedules for relevant SPVs.
  • Assisting with the appointment and resignation of directors, in accordance with internal policies and liaising with the Compliance Department where required.
  • Responding to KYC requests in connection with new deals or existing relationships.
  • Overseeing relationships with third party company secretarial providers and liaising with them on filings and ad hoc matters, where required.
  • Undertake functional projects as required, including the annual director’s attestation project.
  • Maintenance of statutory records/files in each of Diligent and network folders.
  • Organising SPV Panel meetings as required, ensuring appropriate timetabling with senior stakeholders and attending and minuting the meeting.

Development

  • Seek training opportunities to enhance skills.
  • Improve personal skill matrix score each year.
  • Ownership and implementation of new systems and process improvements e.g. new KYC Portal

Stakeholder management

  • Build a strong relationship across the internal supply chain from initiation to delivery with all areas. Drive solutions that are scalable and controlled.
  • Develop close working relationships with third party service partners.
  • Establish working relationships at all levels of seniority.

To be successful in the role you will have:

Skills & Experience:

Essential:

  • Part-qualified company secretary, with some experience in financial services.
  • Experience of SPVs / managing a mixed portfolio of companies, ideally across multiple jurisdictions.
  • Proficient with Diligent Entities software.
  • Process all Companies House filings including annual confirmation statements and statutory accounts.
  • Accuracy and attention to detail.

Desired

  • Awareness of different types of legal entities (Ltd, LPs and LLPs).
  • Strong organisational skills and the ability to prioritise effectively.
  • Experience using DocuSign or equivalent e-signature portal.
  • Team player, with a proactive approach.
